Free Distribution Agreement

§1 Rights You're Giving Us

When you create a free account and distribute music through J2N, you're giving June to November LLC the right to:

• Distribute your music digitally to streaming and download platforms worldwide, with no limit on the number of releases
• Collect royalties on your behalf from those platforms
• Use your name, photo, bio, and artwork solely to promote your releases on J2N's platforms and social channels (up to a 1-minute audio clip)
• Obtain ISRC and UPC/EAN codes for your recordings
• Encode your audio files into the formats required by each platform

You are not giving J2N ownership of your music. You retain full copyright at all times.

§2 Royalties & Revenue Share

Under the Free tier, royalties from streaming and downloads are split as follows:

The 40% J2N share covers the cost of distribution infrastructure, platform relationships, audio encoding, file storage, and ongoing delivery maintenance across all platforms.

§3 Payments & Accounting

Payment frequency: Monthly, approximately 60–70 days after the end of each calendar month. This delay reflects the time it takes for streaming platforms to report and remit earnings to distributors.

Minimum threshold: Payments are issued when your balance exceeds $100. Amounts below this threshold carry forward to the next period — they are never forfeited.

Currency: All payments are made in USD unless otherwise agreed in writing.

Audit rights: You may appoint a certified accountant to audit J2N's royalty accounts once per calendar year, at your own cost.

§4 Term & Renewal

Distribution term: 12 months from the release date of each recording, on a recording-by-recording basis.

Auto-renewal: This agreement auto-renews for successive 12-month periods unless either party gives 60 days' written notice before the end of the current term.

Territory: Worldwide distribution to all major streaming and download platforms available through J2N's distribution network.

§5 Your Responsibilities

By creating an account and submitting music, you confirm that:

• You own or control all rights to the music you submit, including any samples, features, or co-written material
• Your music doesn't infringe anyone else's copyright, trademark, or other rights
• All credits, metadata, and information you provide are accurate
• You have cleared all samples and obtained all necessary licenses
• You will not use or allow the use of any artificial streaming, bots, or fraudulent activity to inflate play counts
• You are at least 18 years old, or have obtained parental or guardian consent

§6 J2N's Responsibilities

June to November LLC commits to:

• Distributing your music to all agreed platforms following your delivery
• Paying your 60% royalty share on the schedule set out above
• Keeping your original files secure and intact — we will not alter your recordings without your written approval
• Crediting you wherever reasonably possible across platforms
• Notifying you promptly if we decide not to distribute a particular recording

J2N covers storage and audio encoding costs. Video encoding costs, if any (up to $100), may be deducted from your revenue share with your prior knowledge.

§7 Streaming Manipulation

You agree not to use, or permit others to use, any artificial means to inflate your stream counts, follower numbers, or other metrics. This includes bots, click farms, VPNs used for artificial plays, shared accounts, or any other inauthentic activity.

If J2N has reasonable grounds to suspect streaming manipulation, we reserve the right to freeze your account balance, remove your releases from platforms, and forfeit any revenues generated through that activity.

§8 Warranties & Indemnity

Each party warrants that they have the authority to enter into this agreement and will comply with its terms.

You agree to indemnify J2N against any third-party claims arising from a proven breach of your warranties above. J2N agrees to indemnify you against any third-party claims arising from a proven breach of J2N's obligations. Neither party will settle a claim related to the other without prior written consent.

§9 Termination

Either party may end this agreement with 60 days' written notice. On termination:

• J2N will process takedown requests across all platforms
• J2N will continue to collect and pay your 60% revenue share for up to 5 years during the takedown period — reflecting the time music may remain active and generating income on streaming platforms
• J2N will provide a digital copy of your files upon request at cost

§10 General Terms

Entire agreement: This document replaces any prior conversations or agreements about the same subject matter.

Amendments: Any changes must be in writing and signed by both parties.

Assignment: You cannot transfer this agreement without J2N's written consent. J2N may assign its rights to affiliates or successors, but remains liable to you unless the new party formally takes on those obligations.

Relationship: This agreement does not create a partnership, joint venture, or employment relationship between you and J2N.

Governing law: This agreement is governed by the laws of the State of California. Any disputes will be resolved in the State or Federal Courts of Los Angeles County.

Jury trial waiver: Both parties waive the right to a jury trial for any dispute arising from this agreement, to the fullest extent permitted by law.

Data: J2N may hold and process personal data relating to you for legitimate business purposes in accordance with its privacy policy.

Electronic acceptance: By checking "I agree" during signup, you are entering into a binding legal agreement with June to November LLC on the terms set out above. This constitutes a valid electronic signature under applicable law.
